Jurisdictional Applicability

These Terms apply to all Users regardless of your country or region of residence or establishment. The governing law and dispute resolution provisions that apply to you depend on your place of residence or establishment, as set out in Section 12 (Governing Law and Dispute Resolution) and Schedule 1 (Contracting Entities).

• If your country of residence or establishment is within the European Economic Area ("EEA"), Switzerland, or the United Kingdom, the Terms of Service for European Users apply to you. [To be published as a separate appendix.]
• If your country of residence or establishment is in Australia, the Terms of Service for Australian Users apply to you. [To be published as a separate appendix.]
• If your country of residence or establishment is in the United States, China, Brazil, Canada, Hong Kong, Taiwan, Singapore, or all other countries and territories, the General Terms of Service below apply to you.

United States Users: Section 12.3 of these Terms contains an arbitration agreement and class action waiver that apply to all claims brought against Kibo in the United States. Please read them carefully.

1. Introduction and Acceptance of Terms

1.1. Documents Incorporated by Reference

These Terms refer to and incorporate: Privacy Policy (personal and health data); Payments Terms (platform fees, medical payment collection, subscription billing); Cancellation Policy (appointments and bookings; Provider's policy displayed before confirmation); Cookie Policy (cookies and similar technologies); Community Standards and Content Policy (user conduct and content). Other supplemental policies may apply. Your use is also subject to the Privacy Policy.

1.2. Binding Agreement

These Terms constitute a binding legal agreement between you ("User") and Kibo Platform (including subsidiaries, affiliates, operators, collectively "Kibo") governing your right to access and use the Kibo mobile application, website (www.kibocare.com), and related technology offerings (the "Kibo Platform" or "Services"). "Kibo" refers to the entity set out in Schedule 1.

1.3. Nature of the Kibo Platform

The Kibo Platform enables Users to: Discover Healthcare Providers, medical treatments, and clinical trials through search, filters, and AI-powered matching; Connect with Healthcare Providers, Clinical Trial Sponsors, and Local Affiliates for appointment requests, referrals, and secure communications; Manage medical records, appointments, and treatment-related information through encrypted storage and patient-controlled sharing; Transact for platform services, subscriptions, and—where Kibo acts as a limited payment collection agent—certain medical service payments. Kibo does not own, control, offer, or manage any medical services, clinical trials, or healthcare facilities. Kibo is not a party to contracts between Patients and Healthcare Providers or Clinical Trial Sponsors. Kibo is not a healthcare provider. Kibo acts solely as a technology intermediary and aggregator.

1.4. Acceptance of Terms

By accessing, downloading, registering for, or using the Kibo Platform, you acknowledge that you have read, understood, and agree to be bound by: (i) These Terms; (ii) Our Privacy Policy; (iii) Any additional terms for specific features (e.g., Payments Terms, Cancellation Policy). IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICES. Acceptance may be evidenced by clicking "I Agree," creating an account, making a booking or payment, or continuing use after we notify you of changes.

1.5. Competency and Eligibility

By using the Services, you represent and warrant that: (i) You are at least 18 years of age and have legal capacity to enter into binding contracts; (ii) You are not barred from using the Platform under applicable laws; (iii) If using on behalf of another (e.g., minor, dependent), you have authority to bind them and accept full responsibility; (iv) If using on behalf of a business, you are authorized to bind that entity. Registration is only permitted for legal entities, partnerships, and natural persons aged 18 or older.

1.6. Important Notice: Kibo Is Not a Healthcare Provider

KIBO IS NOT A HEALTHCARE PROVIDER. Kibo is solely a technology platform and information intermediary. We do not provide medical advice, diagnosis, treatment, or clinical care. All medical services are provided by independent third-party Healthcare Providers. Any information on the Platform—including AI-generated match percentages, treatment cost estimates, provider profiles, and clinical trial recommendations—is for informational purposes only. Always seek the advice of your physician or other qualified health provider regarding any medical condition.

2. Definitions

2.1. Platform, Services, and Kibo

"Kibo Platform" (or "Platform"): Websites, applications, APIs, and technology offerings operated by Kibo, including www.kibocare.com. "Services": Technology platform connecting Users with Healthcare Providers, Clinical Trial Sponsors, and Local Affiliates; includes search, booking, medical records storage, AI matching, payment collection. "Kibo": The entity with whom you contract, as set out in Schedule 1.

2.2. User Types

"User": Any individual or entity that accesses, registers for, or uses the Platform. "Patient": User who searches for, books, or receives medical services, or discovers/applies for clinical trials. "Healthcare Provider" (or "Provider"): Independent hospital, clinic, doctor, or medical professional listed on the Platform. "Clinical Trial Sponsor": Pharmaceutical company, CRO, or research institution listing clinical trials. "Local Affiliate": Independent partner (e.g., local clinic, travel agency, care coordinator) providing pre-procedure consultations, post-treatment follow-ups, or logistical support.

2.3. Content and Data

"Platform Content": Text, graphics, interfaces, photographs, trademarks, logos, and code provided by Kibo. "User Content": Information, data, medical records, text, images, reviews you upload or transmit. "AI Content": Output from Kibo's AI algorithms; for informational purposes only, not medical advice.

2.4. Bookings, Listings, and Transactions

"Booking": Confirmed or pending request for medical service arranged through the Platform. "Platform Booking": Patient requests time slot(s); Provider accepts/rejects/proposes. "Dossier Booking": Patient submits dossier; Provider contacts directly. "Listing": Provider's or Sponsor's offering on the Platform. "Treatment Package": Bundled procedures, inclusions, duration, pricing. "Cost Estimation": Indicative, non-binding price. "Platform Fees": Fees charged by Kibo; typically non-refundable. "Medical Fees": Amounts payable to Provider; refunds governed by Provider's Cancellation Policy. "Cancellation Policy": Policy displayed on Listing and at checkout. "Promo Code": Code issued by Kibo for credits/discounts; subject to specific terms.

3. Nature of Services and Contractual Relationships

3.1. Scope of Services

Kibo grants you a limited, non-exclusive, non-transferable, revocable license. Services include: Discover (search, filters, AI matching); Connect (appointment requests, referrals, secure communications); Manage Data (upload, store, transmit medical records to authorized recipients); Transact (view pricing, facilitate payments). Kibo may modify, suspend, or discontinue Services at any time.

3.2. No Medical Advice & Search Ranking

THE SERVICES DO NOT CONSTITUTE MEDICAL ADVICE. All information is for informational purposes only. Search ranking is based on: Clinical Relevance, Provider Availability, Patient Feedback, Location, and Commercial Agreements (promoted listings clearly labeled).

3.3. Contractual Relationships

User and Kibo: These Terms govern your use of the platform only. User and Provider: When you book, a separate direct contract is formed between you and the Healthcare Provider; governing law is typically where the Provider is located and services are rendered; Kibo is not a party. User and Sponsor: Clinical trial participation governed by separate informed consent.

3.4. Provider Obligations

Licensing: Warrant validly licensed in your jurisdiction. Malpractice Insurance: Maintain appropriate professional liability coverage. Accuracy: Solely responsible for profile, pricing, availability. Taxes: Responsible for VAT, GST, income, or other taxes under applicable law.

4. User Accounts

4.1. Eligibility: Must register; 18+ only. If accessing on behalf of a minor, you represent you are their legal guardian. 4.2. Account Information: Provide accurate, current, complete information including legal name, verified phone (with country code), email. 4.3. Account Security: Maintain confidentiality of credentials; liable for all account activities; notify Kibo immediately if compromised. 4.4. Account Transfer: May not transfer, assign, or sell account; no multiple accounts or sharing. 4.5. Verified Identity: Kibo may undertake identity verification or background screening; may suspend/terminate accounts that fail verification.

5. Booking, Payments, and Cancellations

5.1. Searching: Submission does not guarantee Booking; subject to Provider acceptance. Platform Booking: request time slot(s); Provider accepts/rejects/proposes. Dossier Booking: submit dossier; Provider contacts directly. Read Cancellation Policy before confirming. 5.2. Cost Estimations: Indicative only, non-binding; final costs determined by Provider. 5.3. Payments: Kibo may act as limited payment collection agent; payment to Kibo = payment to Provider. Platform Fees: non-refundable unless stated. Medical Payments: refunds governed by Provider's Cancellation Policy. 5.4. Cancellations: Refund amount determined by Provider's Cancellation Policy. Major disruptive events: separate policies may apply. 5.5. Booking Modifications: You and Provider responsible; pay additional amounts/fees/taxes. 5.6. Promo Codes: Subject to specific terms; may not be duplicated, sold, or transferred; may be disabled at any time.

6. Medical Records and Data Privacy

6.1. License to Transmit: By uploading medical records/health data, you grant Kibo a worldwide, royalty-free, non-exclusive license to host, encrypt, store, and transmit to authorized recipients. You retain ownership; may revoke sharing at any time. 6.2. Cross-Border Data Transfer: You expressly consent to transfer of personal and medical data across international borders for facilitating treatment/consultations/trial participation. 6.3. Consent to Communications: You consent to transactional/operational communications (confirmations, reminders, updates) via email, SMS, push, in-app. 6.4. Compliance: Kibo processes data in accordance with GDPR, HIPAA where applicable, PDPA, PDPO, and other applicable laws.

7. Clinical Trials (Med-Frontier)

7.1. Kibo's Role: Platform for discovering/applying to trials. Kibo is not operator, sponsor, or investigator. Does not conduct trials or make enrollment decisions. 7.2. Matching ≠ Enrollment: Match percentage suggests potential eligibility only; does not guarantee acceptance. Sponsor has sole discretion. Complete Sponsor's application/consent separately. 7.3. Voluntary Participation: Participation is voluntary. Withdraw anytime per protocol. Inherent risks (adverse events, side effects, treatment failure). Kibo is not responsible for safety, outcomes, or adverse events.

8. User Conduct and Prohibited Activities

8.1. General Rules: Act with integrity; provide accurate information; do not misuse. Prohibited: illegal use; harassment; fraud; misuse of Dossier Booking; bots/scrapers; reverse engineering AI; damaging Platform. Honor legal obligations. 8.2. Reviews: Honest, first-hand experience; no incentives; no defamatory/prohibited content; no manipulation. 8.3. User Content License: You grant Kibo non-exclusive, worldwide, royalty-free license to use User Content to operate/promote/improve Platform. Comply with Privacy Policy. You own/have rights; responsible for content. Kibo may remove violating content.

9. Disclaimers and Limitation of Liability

9.1. "As Is": Services provided without warranty. Kibo disclaims implied warranties. Does not endorse/warrant Providers, Sponsors, Affiliates. 9.2. No Liability for Medical Outcomes: TO THE MAXIMUM EXTENT PERMITTED BY LAW, KIBO SHALL NOT BE LIABLE for damages (personal injury, emotional distress, data loss) arising from: (1) use/reliance on Services or inability to access; (2) transactions with Providers, Sponsors, Affiliates; (3) medical negligence, malpractice, injury, death, trial participation; (4) travel, logistics, accommodation. 9.3. Aggregate Liability Cap: Exceeds the greater of: (A) Platform Fees paid in 12 months prior, or (B) US$100. 9.4. Third-Party Services: Kibo not party to third-party contracts; not responsible for their services.

10. Indemnification

You agree to release, defend (at Kibo's option), indemnify, and hold harmless Kibo and its officers, directors, employees, agents, affiliates from claims, liabilities, damages, losses, expenses arising from: (i) your use of Services; (ii) breach of Terms; (iii) Kibo's use of User Content; (iv) violation of third-party rights; (v) interaction with Providers, treatment, trials, third-party services; (vi) non-compliance with laws. Applies regardless of Kibo's negligence.

11. Termination, Suspension, and Modification

11.1. Term: Effective on first access; until terminated. 11.2. By You: Close account anytime. Pending Bookings may cancel; refunds per Cancellation Policy. 11.3. By Kibo: 30 days' notice for any reason; or immediate termination/suspension without notice if: breach, law violation, protection of Kibo/users/third parties, extended inactivity (e.g., 2+ years). 11.4. Effect: No restoration of account or User Content. Surviving provisions survive. 11.5. Modification of Terms: Material changes: post on Platform, update date, 30 days' notice. Disagree: terminate before effective date. Continued use = acceptance. 11.6. Modification of Services: Kibo may modify, suspend, discontinue Services at any time.

12. Governing Law and Dispute Resolution

Applicable provisions depend on your place of residence or establishment. 12.1. United States: Laws of State of New York and USA; venue in New York County. 12.2. China: Laws of Singapore; SIAC arbitration, seat Singapore. 12.3. United States Arbitration (US users only): Binding individual arbitration; 30-day pre-arbitration negotiation; AAA or JAMS rules; class action waiver; exceptions: IP claims, emergency injunctive relief, sexual assault/harassment claims. 12.4. Brazil: Laws of Brazil; courts in Brazil. 12.5. Canada: Class action waiver (to extent permitted; Québec residents may have different rights). 12.6. Rest of World: Laws of Hong Kong; CISG excluded; consumer protection override where beneficial; HKIAC arbitration if unresolved in 30 days; seat Hong Kong. 12.7. Class Action Waiver (All): To fullest extent permitted, you and Kibo waive right to participate as plaintiff or class member in class action or representative proceeding.

13. Miscellaneous

13.1. Entire Agreement: These Terms (with incorporated documents) constitute entire agreement; supersede prior agreements. 13.2. Severability: Invalid provision struck; remainder in force. 13.3. No Waiver: Failure to enforce not a waiver unless in writing. 13.4. Assignment: You may not assign without Kibo consent. Kibo may assign at discretion. 13.5. Force Majeure: Not liable for delay/failure from circumstances beyond reasonable control. 13.6. Notices: To you: email, in-app, or provided contact. To Kibo: Section 15 address.

14. Contracting Entities

Based on your place of residence or establishment, Schedule 1 below sets out the Kibo entity with whom you are contracting. If we identify a different entity for a product, feature, or transaction, that entity applies. If you change your place of residence or establishment, the applicable entity and governing law apply from the date of change.
